Special Board Meeting
Monday, June 7, 7:00 PM
Vera Davis Center
610 California Ave
The board will meet in a special meeting on Monday
to discuss Election options and the recommendations
from D.O.N.E. The executive committee has presented
the board with an option for implementing DONE's
request to postpone the election while DONE finally
and
formally decides if they will accept Town Hall
(initiative) style governance from Neighborhood
Councils.
That option presented is to vote to amend the bylaws
to move the elction 90 days out. This action would
then require, as specifically requested by DONE,
the stakeholders to vote to approve this amendment.
However, the bylaws state that this approval election
must be held at least 30 days from the board vote,
which would be in July sometime. Since the bylaws
also
state that the terms of 11 of the 21 board members
expire at the end of June, the remains a question as
to
the ability of the board to obtain a quorum after
this time. In other words, failure of stakeholders to
approve the amendments to have the election in
September would place GRVNC into a limbo (where the
board could not act) from which recovery, if any,
would take a long time.
If the board does not vote for this option, the
alternative presented by the Executive Committee is to
schedule another Special Election (in the next week or
so) to approve an amendment to the bylaws passed by
the board in April. This amendment allows the terms of
board memebers to be extended while an election is
under challenge. Should stakeholders pass this
amendment or not, it would then still require an
election to be held on June 27 in order to prevent the
board from loosing its ability to form a quorum.
